Article 1 - Purpose

These General Terms and Conditions of Sale (GTC) govern the contractual relationship between eMoteek SRL, whose registered office is located at Rue Coleau 81, 1410 Waterloo, Belgium, registered with the BCE (hereinafter "eMoteek" or "the Seller") and any natural or legal person wishing to make a purchase through the website www.emoteek.net (hereinafter "the Customer").

Any order placed on the website implies unconditional acceptance of these GTC.

Article 2 - Products

The products offered for sale are described and presented as accurately as possible. However, should any errors or omissions occur in such presentation, eMoteek's liability cannot be engaged.

The photographs illustrating the products are not contractually binding and shall not engage the Seller's liability.

eMoteek reserves the right to modify at any time the products offered for sale as well as their characteristics.

Article 3 - Prices

Prices displayed on the website are expressed in euros excluding VAT. The applicable VAT will be added at the time of order confirmation in accordance with the rate in force.

eMoteek reserves the right to modify its prices at any time. Products will be invoiced on the basis of the rates in force at the time of order confirmation.

Shipping costs are not included in the displayed prices and will be indicated prior to final order confirmation.

Article 4 - Order

The Customer selects the products they wish to order and adds them to their shopping cart. They may at any time view and modify the contents of their cart before proceeding to order confirmation.

Confirmation of the order implies full acceptance of these GTC. An order confirmation will be sent to the Customer by e-mail.

eMoteek reserves the right to refuse any order for legitimate reasons, particularly in the event of insufficient stock, payment issues or a prior dispute with the Customer.

Article 5 - Payment

Payment is made at the time of ordering. The accepted payment methods are:

• Bank card (Visa)
• Bancontact
• Bank transfer

For professional customers, payment by bank transfer at 30 days may be granted following credit file approval.

Transactions are secured by an SSL encryption system.

Article 6 - Delivery

The delivery times indicated are given as a guide only. eMoteek undertakes to make its best efforts to meet the announced deadlines.

A delivery delay may not give rise to any damages, withholding or order cancellation by the Customer.

In the event of a damaged parcel upon receipt, the Customer must issue written reservations on the delivery note and contact eMoteek within 48 hours.

Article 7 - Right of withdrawal

In accordance with applicable legislation, the consumer Customer has a period of 14 days from receipt of their order to exercise their right of withdrawal, without having to justify any reason or pay any penalties.

To exercise this right, the Customer must notify their decision in writing (e-mail or letter) and return the product in its original packaging, intact and accompanied by all its accessories.

Return costs are borne by the Customer. The refund will be processed within 14 days following receipt of the returned product.

The right of withdrawal does not apply to personalised or custom-made products, or to products that cannot be resold for hygiene or safety reasons.

Article 8 - Warranty

All products sold benefit from the statutory warranty of conformity (Article 1649 quater of the Belgian Civil Code) and the warranty against hidden defects.

In addition, products benefit from the manufacturer's warranty, the duration of which varies depending on the manufacturer.

The warranty does not cover damage resulting from abnormal use, lack of maintenance, non-compliant installation or unauthorised modifications.

Article 9 - Liability

eMoteek shall not be held liable for indirect damages, loss of business or data arising from the use or inability to use the products sold.

eMoteek's liability is limited to the amount of the order concerned.

Article 10 - Intellectual property

All elements of the website www.emoteek.net (texts, images, logos, etc.) are protected by intellectual property law. Any reproduction, even partial, is strictly prohibited without prior authorisation.

Article 11 - Data protection

The information collected during the order is necessary for its processing. It is processed in accordance with our Privacy Policy and the General Data Protection Regulation (GDPR).

Article 12 - Subscriptions

eMoteek offers various subscriptions providing access to specific features, services and content on the platform. The characteristics, functionalities, prices and duration of each subscription plan are indicated on the website at the time of subscription.

Unless otherwise indicated at the time of subscription, subscriptions are entered into for the duration corresponding to the plan chosen by the Customer and are automatically renewed at their expiry date for an equivalent period.

By subscribing, the Customer authorises eMoteek to automatically process payment of the corresponding amount at each renewal using the registered payment method, unless the subscription is cancelled before its renewal date.

The Customer may disable the automatic renewal of their subscription from their personal account or according to the cancellation procedures made available by eMoteek. Cancellation takes effect at the end of the already paid subscription period. The Customer retains access to the features associated with their subscription until that date and no pro-rata refund for the remaining period is made, unless otherwise required by mandatory legal provisions.

eMoteek reserves the right to modify its subscription prices. Any price change applicable to an ongoing subscription will be communicated to the Customer prior to their next renewal. The new price will apply from the following renewal period.

If the Customer does not wish to accept the new price, they may cancel their subscription before the relevant renewal date. If the subscription is not cancelled before that date, it will be renewed at the applicable rate communicated to the Customer and the corresponding amount may be automatically debited.

Promotional offers, discounts or preferential rates may be limited to a specified period or to the initial subscription period. Unless expressly stated otherwise at the time of subscription, the subscription will thereafter be renewed at the standard rate in force at the time of renewal, subject to prior notification to the Customer when that rate differs from the previously paid rate.

eMoteek also reserves the right to evolve the various subscription plans and their features. Any substantial change affecting an ongoing subscription will be communicated to the Customer within a reasonable period before it comes into effect, in accordance with applicable legislation.

In the event of a payment failure upon renewal, eMoteek may make further collection attempts and/or temporarily suspend access to the features associated with the subscription until the situation is rectified.

In the event of cancellation, expiry or suspension of the subscription, the Customer may lose access to the features, services or benefits exclusively associated with the relevant plan.

The provisions of this article apply without prejudice to the mandatory rights available to the Customer when acting as a consumer.

Article 13 - Applicable law and disputes

These GTC are governed by Belgian law.

In the event of a dispute, the parties undertake to seek an amicable resolution. Failing agreement, the courts of Nivelles shall have sole jurisdiction.

Article 15 - Artificial intelligence-based assistant

eMoteek makes available to its users a technical assistant based on artificial intelligence technologies (hereinafter "the AI Assistant"). The responses, searches, comparisons, suggestions and recommendations provided by the AI Assistant are automatically generated from the information, data and resources to which it has access.

The AI Assistant constitutes a research, comparison and design aid tool intended exclusively for professional users. It does not in any way replace the analysis, judgement, expertise or technical validation of a qualified professional.

Despite the efforts made by eMoteek to provide relevant and reliable information, the responses generated by the AI Assistant may contain errors, omissions, approximations or incomplete or outdated information. eMoteek therefore does not guarantee the accuracy, completeness, currency or suitability of the generated responses for a particular project or application.

It is the Customer's responsibility to verify, prior to any order, installation, use or integration of a product into a project, all relevant technical information and characteristics, in particular by consulting the technical datasheets, instructions, official documentation and manufacturer's specifications.

Proposals for equivalence, replacement, compatibility or association between different products provided by the AI Assistant constitute a selection aid only. They do not constitute a guarantee of equivalence or technical compatibility. The Customer remains responsible for the final verification of the compatibility of products with their installation, application, technical environment and project requirements.

The Customer remains solely responsible for decisions made on the basis of information provided by the AI Assistant, as well as for the selection, sizing, installation, configuration and use of the products or solutions chosen.

The information provided by the AI Assistant may not in particular be considered as a technical study, engineering study, compliance validation, certification, manufacturer's specification or contractual commitment by eMoteek regarding the performance of a product or installation.

To the fullest extent permitted by applicable law, eMoteek shall not be held liable for any damage, loss, cost or consequence resulting from a decision made solely on the basis of a response or recommendation generated by the AI Assistant without prior verification of the relevant technical information by the Customer.

eMoteek reserves the right to modify, improve, limit, suspend or remove at any time all or part of the AI Assistant's features, in particular in order to improve its performance, reliability, security or regulatory compliance.
